Provider and contact

Ninaky is the trading name of Ruben Bento, Route de Mézières 23, 1673 Ecublens FR, Switzerland. Contact: info@ninaky.com. Ninaky creates and supports websites, particularly for independent professionals and small service businesses in French-speaking Switzerland.

Quote and acceptance

Each project starts with a discussion and a personalised quote. The quote describes the plan, initial scope, language, deliverables, dependencies, schedule and amounts due. These terms and the applicable annexes are supplied before written acceptance. Requesting a quote is not an order. Stripe payment follows acceptance.

A new version does not retroactively replace previously accepted terms. Changes to the project, its fees or commitments require prior written agreement. A specific provision expressly agreed in the quote takes precedence over the corresponding general provision, subject to mandatory rights.

Prices and plans

Prices are in Swiss francs. Ninaky does not charge VAT under its current status. The quote states the tax treatment actually applicable to the order.

The subscription includes the agreed initial creation, hosting and domain. Premium and Deluxe also include the monthly modification hours stated below. The annual price equals ten monthly payments for twelve months of service, or two months free. The initial creation agreed in the quote is not limited to the hours allocated to subsequent changes.

One-time creation includes the website defined in the quote and the handover described below. Annual operating fees cover hosting and the domain, with no modification hours included. Their amount is stated and accepted in the quote before ordering. Hosting is provided for websites created by Ninaky and is not sold separately.

Pages, language and content

Standard includes one presentation and contact page with professional design; Premium includes up to five pages, custom design, a gallery, a form and simple booking; Deluxe includes up to ten pages, custom design, advanced animations and the integrations identified in the quote.

Standard includes one content page and one language; Premium up to five pages and two languages; Deluxe up to ten pages and an unlimited number of languages through automatic translation, among the languages supported by the selected tool. Necessary legal and technical pages and translated versions do not count as additional pages. You approve the translations; professional translation or proofreading requires a separate quote. Later changes to translations use the included modification hours, where applicable, or a separate quote.

You supply accurate business information, your logo and available photographs with the necessary permissions. Ninaky writes and organises the agreed pages and prepares or selects the agreed additional visuals. You approve content accuracy before publication. Creating a brand identity or conducting a professional photo shoot is not automatically included.

Simple booking means one calendar, a choice of time slot and a confirmation. The quote names the selected tool. Booking payments, multiple staff and particular automations are considered explicitly. Each advanced integration is named with its expected result and dependencies.

Optional third-party services

Ninaky may subscribe to and rebill optional services specific to your project. The quote or annex identifies the provider, account, function, amount, billing interval, renewal and exit arrangements. Any additional or changed cost requires your written agreement before commitment. A supplier price increase is not automatically passed on without agreement.

Included hosting and the domain remain covered by the stated amounts. Ninaky's usual production tools do not become additional client charges. Exceptional consumption or a paid option requires prior agreement. No implicit supplement or undisclosed markup is added.

Hours and development requests

Standard has no included modification hours: changes are quoted separately. Premium includes one hour per month for minor changes. Deluxe includes three hours per month for minor and major changes to the existing website. Hours are allocated monthly even when the subscription is paid annually; they are not an annual credit available from the first day. Unused hours do not roll over.

Minor changes include text, photos, opening hours and prices. Major changes include layout updates, added sections or adjustments to an existing form. A complete redesign, a new application or work outside the agreed scope requires a separate quote. Ninaky confirms feasibility, scope, the estimate and scheduling before work. Tracking covers the actual minutes spent on analysis, necessary discussions, implementation, testing and publication. A simple record shows time used and remaining.

General administration, billing and correction of a defect attributable to Ninaky are outside the allowance. Automation reduces actual time spent; it does not justify charging fictional time.

If a request exceeds available hours, you may agree to spread feasible work across several months or accept an additional quote. Spreading work does not accumulate unused hours. With Standard and after a one-time purchase, modifications and new features require an additional quote. Every additional quote is accepted and paid in full before the work; no extra hourly rate is imposed without agreement.

Payment before work

All services require full payment of the amount due before the relevant work starts: the first monthly payment for a monthly subscription, the year for an annual subscription, or the quoted amount for one-time creation and additional work. A monthly plan does not require twelve months of advance payment. Subsequent periods are paid in advance when due.

For one-time creation, annual hosting and domain fees are due from activation. The initial quote states their amount and first due date. They are paid in full before activation; no free first year is promised.

Schedule, cooperation and approval

Each quote has its own schedule, accounting for payment, receipt of necessary materials and approvals. A binding deadline must be expressly agreed. Publication takes place after your approval.

After thirty days without a response despite a reminder, the project may be placed on hold. Ninaky notifies you and communicates a revised schedule when work resumes. Silence is not approval, cancellation or acceptance of extra costs; no automatic penalty applies.

Before payment, the quote explains the subscription start date and the effects of delay. Where missing materials or approvals are your responsibility, agreed periods continue according to the accepted schedule unless a written adjustment is agreed. A delay attributable to Ninaky is handled separately with a corrected schedule and an appropriate adjustment according to the circumstances; rights concerning non-performance remain reserved. A hold creates no hidden fees.

Contact and incidents

The main channel is info@ninaky.com. A first personal response is normally provided within one week. The completion time is communicated separately for each request. This indication is not continuous on-call support or a guaranteed intervention or recovery time. Planned absences are announced.

For an unavailable website or blocking fault, put "Incident" in the subject line. The report receives priority once it is read. Defects attributable to Ninaky and incidents within the supplied hosting are covered by the service, outside the hours allowance. Recovery following a client's action uses available hours or, after a one-time purchase, a quote, following explanation and agreement before work. Applicable rights remain reserved.

Renewal, plan changes and cancellation

Monthly periods run from the subscription date in the quote to its next monthly anniversary. Cancellation can be requested by email and is confirmed in writing. Service ends at the end of the paid period, without an additional month's notice.

The annual subscription renews automatically for twelve months as stated in the quote. A reminder is sent thirty days before renewal; you may disable renewal by email until the renewal date. Service remains available until the end of the paid period. Unused time is not refunded for voluntary departure. This does not remove mandatory applicable rights, including in the event of non-performance by Ninaky.

The annual hosting and domain package after one-time purchase then renews automatically each year. A reminder is sent thirty days before renewal; you may end it at the end of the paid period by cancelling renewal by email up to the due date. Confirmation is provided in writing.

A plan change takes effect at the next renewal of the paid period, after written agreement. For annual plans this is the end of the paid year. An earlier one-off requirement can be handled through an additional quote. Email remains available even if a Stripe portal is offered.

Payment failure

Following a failed payment, Ninaky sends a notification and then a reminder. Before a possible suspension, written notice allows ten days to pay. No reminder fee is automatically added and files are not immediately deleted.

Cancelling one-time creation

If you cancel before delivery, Ninaky provides a documented account of work performed and non-recoverable costs incurred. The valuation method is defined in the quote before acceptance; no retrospective hourly rate is imposed. Any remaining balance of the payment received is returned to you. Supporting records, deliverables handed over and practical arrangements are identified in the account.

This rule does not change voluntary cancellation of an annual subscription. If Ninaky cannot fulfil its commitments, the situation is handled separately according to the services delivered and applicable rights.

Domain and access

You are the domain holder from the outset. Ninaky arranges registration or technical management and the agreed renewal. The domain, holder and required access are identified in the project annex. Ordinary domain cost is included in the subscription or annual fees after one-time purchase; particular costs require prior agreement.

Domain ownership and transfer of its management are independent of code handover. You may request a management transfer without waiting twelve months, subject to registry formalities and restrictions. Your content remains yours.

File handover and usage rights

One-time creation includes handover of the website files specified in the quote. After twelve months of subscription have actually elapsed, you may obtain the agreed code. Paying a year in advance does not trigger handover on the first day. The quote identifies the files, exportable data, access and dependencies needed to honour this commitment.

Delivered creations carry durable, non-exclusive rights allowing you to use, modify and have them maintained for your project without an additional royalty to Ninaky. During the subscription you may use the delivered website under the agreed service. Ninaky retains and may reuse its generic components, methods and tools. Client materials and third-party resource licences remain distinct. No exclusivity is promised over resources for which Ninaky cannot grant such rights.

Exit and migration

Handover includes the agreed files, agreed exportable data and documentation of dependencies and required access. Licensed elements are identified; secrets are not placed in the archive. A ZIP handover does not guarantee that a database, authentication system or external server function operates without its original service.

Migration to another solution is separate work priced through an accepted quote before intervention. Project dependencies must permit the promised handover; a later technical difficulty does not unilaterally reduce that commitment.

An announced thirty-day period at the end of the contract allows you to retrieve files due for handover. Ninaky then removes unnecessary operational copies. Records needed for accounting, a legal obligation or a dispute are retained separately. Domain and third-party service transfers are arranged before their expiry dates.

Personal data and other rights

The privacy notice describes processing for the commercial relationship and relevant website. When processing data on your behalf, Ninaky formalises scope, instructions, providers, measures and return of data in the processing annex applicable to the project.

Featuring a website in a portfolio or publishing a testimonial requires separate permission covering the actual material shown. It is not automatically authorised by accepting the quote.

Applicable rights concerning performance, defects, liability, data and complaints remain reserved. No blanket exclusion of liability is provided.

Applicable law

Contracts with Ninaky are governed by Swiss law, subject to applicable mandatory provisions. Jurisdiction is determined by the applicable legal rules. Mandatory consumer protection rights and jurisdiction rules remain unaffected.
